    Board Member Roles and Responsibilities
    A comprehensive look at nonprofit governance

    Board members are the fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as by making sure the nonprofit has adequate resources to advance its mission. In this four-hour program over consecutive Wednesdays (2 hours each workshop), new, existing and potential board members will learn the fundamental nonprofit governance concepts every nonprofit leader should understand to be an effective and contributing board member.

    About the presenters:

    Rayza Santiago

      
    Rayza Santiago concentrates her practice in the areas of general business and corporate matters, health care, not-for-profit organizations, mergers and acquisitions and corporate governance. Her experience includes performing due diligence review, drafting memoranda, legal research and drafting transactional and governance documents. A large portion of Rayza’s practice is devoted to advising corporate and not-for-profit clients on issues relating to formation, ownership, operation, transfer and termination of business entities.
    Rayza also provides counsel to hospitals, health care providers, facilities and organizations in connection with operational, compliance and governance matters, including corporate compliance, HIPAA, fraud and abuse, misconduct issues, the implementation of internal compliance programs and patient-related issues.

    Mark Wille
    As Principal of MRW Consulting, Mark Wille helps nonprofits of all sizes and with diverse missions and programs realize their full potential.
    Mark is a seasoned consultant and nonprofit administrator who’s work encompasses all aspects of fundraising--from annual campaigns and grant writing to major gifts/capital campaigns; board development and training (best practices workshops, confidential governance assessments, board/administrative staff mentoring, trustee recruiting and conflict resolution counsel, governance materials preparation, and infrastructure re-tooling); strategic planning (retreats, workshops, and guided discovery planning scenarios involving key organizational stakeholders); public relations (internal and external communications planning and full-service writing/editing assistance); and executive search (recruiting Development Directors and Executive Directors/CEO’s)
    Following is a sampling of Mark’s consulting accomplishments:
    • Helped a well-established historical society dramatically enhance its overall operations by educating and revitalizing its Board of Directors, developing a comprehensive strategic plan, and launching an aggressive, first-time fundraising effort targeting area corporations and foundations  
    • Orchestrated a first-time major gifts fundraising effort for a human service agency, generating new funding in less than 18 months amounting to 30 percent more than the organization’s annual operating budget  
    • Conducted a national study for a prestigious health care organization, enabling it to defuse trustee conflict and determine how to effectively grow and manage its endowment  
    • Optimized a large United Way’s administrative, fundraising, and marketing capabilities by streamlining its board structure and providing governance training to all trustees  
    • Enabled a prominent, $40 million Philadelphia social services agency to overcome serious developmental challenges ranging from poor staff/board leadership and communications to pervasive morale problems and widespread program inefficiencies. Solutions provided included an in-depth organizational assessment, conducting the agency’s first-ever strategic planning effort, and recruiting a new and highly accomplished CEO
    Prior to launching his consulting practice in 1994, Mark served for 17 years in Development Officer, Development Director, and Executive Director positions with local, regional, and national nonprofit agencies such as the Boy Scouts of America, Recording for the Blind & Dyslexic (now Learning Ally), and Volunteers of America. Earlier, he excelled in the field of marketing public relations as an account executive with Harshe-Rotman & Druck, Inc., an internationally renowned public relations firm.
